DirectX is a set of drivers for video. Many programs use them and one version is part of the standard XP installation. While it can be a source of problems, it is one I recommend solving and not removing. You may find new programs that use heavy graphics are depending on these drivers. If you are building an workstation for engineering, it is likely you will need DirectX.

You may consider downloading whatever DirectX update is available on your own rather than letting some prompt do it for you. You probably don't buy something from an unsolicited phonecall so why from a pop-up. Look here for DirectX updates.

Buyer beware - I do not guarantee any of these solutions and, as will all things Microsoft, you may end up worse off than when you started.

Here is one possible solution:

To remove DirectX Do the following:
Start > Run > regedit
Browse to and remove the following key
HKEY_LOCAL_MACHINE\Software\Microsoft\DirectX

Don't delete any of the other folders or your PC wont work.

Restart your computer and if you did above, DirectX 9 will be gone, and XP will have reinstalled 8.1 in the background on restart.

Confirm by doing the following:

Start > Run > dxdiag

This will open your directx diagnostic tool, containing a wealth of info. On the first tab, down the bottom it will tell your your directx version. Should now say DirectX 8.1
